This Disclaimer & No-Advice Notice (this “Disclaimer”) applies to TrailTrack and all related websites, applications, application programming interfaces, templates, dashboards, and services (collectively, the “Service”) provided by Boardrooms to Backroads Consulting LLC (“B2BC,” “we,” “us,” or “our”). It supplements, and is incorporated into, our Terms of Service. In this Disclaimer, “Customer” means the organization or individual that has contracted for the Service; “User” means any person who accesses or uses the Service; “Content” means any data, text, files, figures, prompts, outputs, or other materials submitted to, generated within, or transmitted through the Service; and “Workspace” means a Customer’s configured instance within the Service. Please read this Disclaimer carefully.

1. “As Is” and “As Available”

The Service is provided on an “as is” and “as available” basis, with all faults and without any guarantee of availability, continuity, or performance. To the maximum extent permitted by applicable law, your access to and use of the Service is at your own risk.

2. No Warranties

To the maximum extent permitted by applicable law, B2BC disclaims all warranties, conditions, representations, and guarantees of any kind, whether express, implied, statutory, or otherwise, with respect to the Service and all Content, including, without limitation, any implied warranties or conditions of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy, and non-infringement, and any warranties arising out of course of dealing, usage, or trade. We do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free.
  • The results, figures, calculations, or Content obtained from the Service will be accurate, complete, current, or reliable.
  • Any defects or errors will be corrected, or that the Service is free of viruses or other harmful components.
  • The Service will meet your requirements or be compatible with any particular hardware, software, system, or integration.

3. No Professional Advice

TrailTrack is general project-, work-, and information-management software. Nothing made available through the Service is, or is intended to be, a substitute for professional advice. All Content, templates, sample documents, dashboards, calculators, reports, AI-generated output, and financial, expense, budget, profitability, margin, or compliance figures are provided for general informational and organizational purposes only and do not constitute and must not be relied upon as tax, accounting, financial, investment, legal, regulatory, medical, human-resources, or any other professional advice. Use of the Service does not create any professional, advisory, fiduciary, attorney-client, accountant-client, or similar relationship between you and B2BC. Templates and pre-built content are starting points only, not finished or jurisdiction-specific documents. You should consult appropriately qualified professionals, and independently verify any information, before making or relying on any decision.

4. Independent Verification and Your Responsibility

You are solely responsible for evaluating the accuracy, completeness, suitability, and legality of any Content or output for your purposes; for independently verifying figures and conclusions; for your data, backups, and records; and for your compliance with all laws, regulations, and professional standards applicable to you and your organization. Any reliance you place on the Service or its Content is strictly at your own risk.

5. Artificial-Intelligence Output

Certain features use artificial-intelligence models and operate on a bring-your-own-key (BYOK) basis using the Customer’s own AI provider and account. AI features are probabilistic and predictive in nature. Their outputs may be inaccurate, incomplete, outdated, biased, or entirely fabricated (so-called “hallucinations”), and the same input may produce different results. AI output is not reviewed by B2BC for accuracy and must not be treated as professional advice or as a statement of fact. You are responsible for reviewing, validating, and exercising independent professional judgment over any AI output before relying on it. 6. Financial, Expense, and Numerical Figures

Any financial, expense, budget, profitability, margin, rate, cost, revenue, time, resourcing, or similar figures, calculations, rollups, or dashboards available through the Service are organizational tools only. They are not certified, audited, or official accounting, bookkeeping, financial-statement, payroll, or tax records, and they are not a substitute for a qualified accountant, bookkeeper, auditor, or tax professional or for your accounting system of record. Figures depend on the data you and your Users enter and configure, may contain errors, and may not reflect applicable accounting standards. You must independently verify and reconcile all such figures before using them for accounting, tax, financial, billing, or compliance purposes.

7. Third-Party Content, Links, and Integrations

The Service may include, link to, or integrate with third-party websites, services, content, data, and providers. We do not control, endorse, or assume responsibility for any third party, including the accuracy, availability, security, or practices of third-party services or content. Your use of any third-party service is at your own risk and is governed by that provider’s own terms and policies.

8. User-Generated Content

The Service hosts Content created, uploaded, or shared by Customers and Users. Such Content reflects the views of those who provide it and not of B2BC. We do not endorse, verify, or assume responsibility for any User-generated Content, and we are not responsible for its accuracy, legality, or your reliance on it.

9. Forward-Looking and Roadmap Statements

Any statements regarding future features, plans, timelines, roadmaps, projections, estimates, or forecasts are forward-looking and are provided for general information only. They are subject to change at any time without notice, involve inherent uncertainty, and do not constitute a commitment, promise, or guarantee. Actual results, features, and availability may differ materially. You should not rely on forward-looking statements when making decisions.

10. No Guarantee of Results

We make no guarantee that use of the Service will produce any particular outcome, benefit, efficiency, saving, or result. Outcomes depend on factors outside our control, including your own data, configuration, decisions, and circumstances.

11. Limitation of Liability

Your use of the Service is also subject to the limitations of liability, disclaimers, and indemnities set out in our Terms of Service, which are incorporated here by reference. To the maximum extent permitted by applicable law, B2BC and its owners, members, employees, contractors, and developers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or related to your use of, or inability to use, the Service or any Content. 12. Jurisdictional Note

Some jurisdictions do not allow the exclusion of certain warranties, the exclusion or limitation of certain damages, or the disclaimer of certain statutory rights. To the extent any such law applies to you, some of the exclusions and limitations in this Disclaimer may not apply, and you may have additional rights. In that case, the exclusions and limitations in this Disclaimer apply to the fullest extent permitted by applicable law.
