Acceptable Use Policy

This Acceptable Use Policy (the “AUP”) governs access to and use of TrailTrack and all related websites, applications, application programming interfaces, and services (collectively, the “Service”) operated by Boardrooms to Backroads Consulting LLC (“B2BC,” “we,” “us,” or “our”). The AUP is incorporated into and forms part of our Terms of Service. Capitalized terms not defined here have the meaning given in the Terms of Service. In this AUP, “Customer” means the organization or individual that has contracted for the Service; “User” means any person who accesses or uses the Service, whether or not invited by a Customer; “Content” means any data, text, files, images, messages, prompts, outputs, or other materials submitted to, generated within, or transmitted through the Service; and “Workspace” means a Customer’s configured instance, spaces, lists, and associated settings within the Service.

We may update this AUP from time to time as described in the final section. If you do not agree with this AUP, you must not access or use the Service.

1. Scope and who is bound

This AUP applies to every Customer and every User, including account owners, administrators, invited members, guests, and anyone who accesses the Service through a Customer’s Workspace, credentials, integrations, or public links. Access to the Service is invite-only; receiving or accepting an invitation, or otherwise accessing the Service, constitutes acceptance of this AUP. Each Customer is responsible for ensuring that all of its Users, and any third parties acting on its behalf, comply with this AUP, and a Customer remains responsible for activity conducted under its Workspace or credentials.

2. Prohibited Content

You may not upload, store, post, transmit, generate, or make available through the Service any Content that:

  • Is unlawful, fraudulent, deceptive, or that promotes or facilitates illegal activity.
  • Infringes or misappropriates any patent, copyright, trademark, trade secret, moral right, or other intellectual-property or proprietary right of any party.
  • Violates any person’s privacy, publicity, contractual, or other legal rights, or that discloses another person’s personal information without authorization (“doxxing”).
  • Contains or installs viruses, worms, trojans, ransomware, spyware, time bombs, or any other malicious, harmful, or disruptive code or files.
  • Depicts, references, or facilitates the sexual exploitation or abuse of minors, including child sexual abuse material (CSAM), or any sexualization of minors. We report suspected CSAM to the appropriate authorities and preserve associated records as required by law.
  • Harasses, threatens, bullies, stalks, intimidates, or defames any person, or incites or facilitates violence or self-harm.
  • Is hateful or discriminatory, or that promotes hatred, harassment, or violence against individuals or groups based on race, ethnicity, national origin, religion, sex, gender identity, sexual orientation, disability, age, or other protected characteristic.
  • Is obscene, gratuitously violent, or that constitutes non-consensual intimate imagery.
  • Is deceptive, including impersonation of any person or entity, falsely implying affiliation or endorsement, or misrepresenting the origin of Content.
  • Promotes illegal goods or services, the unlawful sale of regulated products (such as weapons, drugs, or controlled substances), or unlawful gambling.

3. Prohibited Conduct

You may not, and may not permit any third party to:

  • Access, attempt to access, tamper with, or use any account, Workspace, Content, system, or data that you are not authorized to access.
  • Probe, scan, or test the vulnerability of the Service or any related system or network, or breach or circumvent any authentication, security, rate-limiting, or access-control measure.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, underlying ideas, or algorithms of the Service, except to the extent this restriction is prohibited by applicable law.
  • Scrape, crawl, harvest, or use automated means to extract data or Content from the Service except through documented interfaces and within applicable limits.
  • Copy, frame, mirror, resell, sublicense, or use the Service to build, train, or improve a competing product or service, except as expressly permitted by law or in writing.
  • Circumvent, disable, or interfere with usage limits, quotas, billing controls, license restrictions, or feature gating.
  • Share, sell, or transfer account credentials or access tokens, or allow multiple individuals to use a single named seat except as expressly permitted by your subscription.
  • Remove, obscure, or alter any proprietary notices, branding, or attributions within the Service.
  • Use the Service in any manner that violates applicable law or the rights of any third party.

4. Restricted and Regulated Data

Unless a separate written agreement with B2BC expressly permits it, you must not upload to, store in, or process through the Service any data that is subject to heightened legal or regulatory protection, including:

  • Protected health information (PHI) or other data regulated under HIPAA or comparable health-privacy laws.
  • Full payment card numbers, cardholder data, or other information subject to the PCI DSS.
  • Biometric identifiers or biometric information.
  • Government-issued identification numbers (such as social security, passport, or national-ID numbers).
  • Special-category or sensitive personal data, financial-account credentials, or data of children where additional consents or protections are required.

The Service is general project-management software and is not, by default, certified or configured as a system of record for the categories above. You are responsible for determining whether the Service is appropriate for your data and for obtaining any required consents.

5. Export Control and Sanctions Compliance

You must comply with all applicable export-control, economic-sanctions, and trade laws and regulations. You may not access or use the Service, or export, re-export, or transfer any Content or technology, in violation of such laws, including to any embargoed or sanctioned country, region, or party, or for any prohibited end use. You represent that you are not located in, organized under the laws of, or ordinarily resident in a sanctioned jurisdiction, and that you are not a restricted or denied party under applicable lists.

6. Messaging, Spam, and Anti-Abuse

You may not use the Service to:

  • Send spam, bulk, or unsolicited communications, including unsolicited invitations, comments, mentions, or notifications.
  • Operate phishing, social-engineering, or other deceptive campaigns, or distribute links to malicious or fraudulent destinations.
  • Collect or harvest contact information for unsolicited outreach, or send communications that violate anti-spam or electronic-marketing laws.
  • Generate excessive invitations, messages, or automated activity intended to harass, overwhelm, or abuse other Users or recipients.

7. Rate Limits, Automated Use, and Fair Use of Resources

You must use the Service, including any application programming interface, webhook, automation, or integration, within any published or communicated rate limits and in a manner that does not impose an unreasonable or disproportionate load on the Service or its infrastructure. You may not engage in conduct that degrades, disrupts, or interferes with the integrity, performance, or availability of the Service for others, including denial-of-service activity, excessive polling, or resource exhaustion. We may apply technical limits and may throttle, suspend, or restrict access that, in our reasonable judgment, threatens the stability or security of the Service.

8. AI Features and Bring-Your-Own-Key (BYOK) Use

Certain features of the Service use artificial-intelligence models on a bring-your-own-key basis, meaning Content may be sent to a third-party AI provider under your own account and key. When using these features:

  • You must not use AI features for any purpose prohibited by this AUP, by applicable law, or by the terms or usage policies of the relevant AI provider.
  • You are solely responsible for the prompts and other inputs you submit and for your review and use of any outputs, which may be inaccurate or incomplete.
  • You must not submit Content you are not permitted to share with third-party AI providers, including Content subject to confidentiality obligations or the data restrictions in Section 4.
  • You must not attempt to use AI features to generate Prohibited Content, to circumvent safety measures, or to extract another party’s confidential or proprietary information.

9. Security Responsibilities and Vulnerability Reporting

You are responsible for maintaining the confidentiality of your credentials, for using strong and unique passwords, for enabling available account-security features, and for promptly notifying us of any suspected unauthorized access or security incident affecting your account or Workspace. You must not test, probe, or exploit vulnerabilities except under a documented, authorized program. If you discover a security vulnerability, please report it responsibly and privately to abuse@boardroomstobackroads.com and give us a reasonable opportunity to investigate and remediate before any public disclosure. Do not access, modify, or delete data that is not yours, and do not degrade the Service while testing.

10. Third-Party Integrations and Content

The Service lets you connect third-party services, upload files, and import or export data. You are responsible for your use of any integration, for ensuring you have the right to connect and transfer the relevant Content, and for complying with the terms of each third-party provider. We do not control, and are not responsible for, third-party services, their availability, their security, or their handling of your Content. Your use of a connected integration is at your own risk and governed by that provider’s terms.

11. Consequences of Violations

We may investigate suspected violations of this AUP and may take any action we consider appropriate, in our reasonable judgment, which may include, without limitation:

  • Issuing a warning or requesting that the violating conduct or Content be corrected.
  • Removing, disabling, restricting, or quarantining Content, links, or features.
  • Throttling, suspending, or limiting access to all or part of the Service.
  • Suspending or terminating affected accounts, Workspaces, or the Service.
  • Preserving records and cooperating with, or referring matters to, law enforcement or other authorities where we believe in good faith that disclosure is necessary.

Where practicable and lawful, we will seek to give notice before taking action, but we may act immediately where we believe there is a risk of harm, legal liability, security compromise, or service disruption. Our exercise or non-exercise of any right under this AUP does not waive any other right or remedy available to us under the Terms of Service or at law.

12. Reporting Abuse

To report a violation of this AUP, abusive Content, suspected unauthorized access, or a security vulnerability, contact abuse@boardroomstobackroads.com. For other legal matters, contact legal@boardroomstobackroads.com. Please include enough detail for us to locate and assess the issue, such as relevant links, identifiers, and a description of the conduct.

13. Changes to this AUP

We may modify this AUP from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued access to or use of the Service after the effective date of a revised AUP constitutes acceptance of the changes. If you do not agree to the revised AUP, you must stop using the Service.
